THE AGREEMENT ON THE PUBLICATION OF PARTNER CONTENT IN THE "FRESH AND RELEVANT" SECTION

This document, hereinafter referred to as the “Agreement”, defines the terms of information exchange between the owner of the Yandex Search Engine Büyük Reklam Çözümleri Limited Şirketi (hereinafter referred to as the “Provider”) and the Partner (jointly referred to as the Parties).

1. General provisions

1.1. For the purposes of this Agreement, the following terms are used in the following meaning:

Fresh and relevant (news section) — Yandex search engine section with automatic processed and systematized content from Partners Provider Databases.

Partner — a person or organization that engages in information cooperation with the Provider in accordance with the terms and conditions of this Agreement. According to this Agreement, only the owner of a news site (Partner Site) can be considered as a Partner. The site owner refers to the person or entity that is responsible for the administration of the domain name under which the site operates, or any other person or entity who has control over the content published on the site.

The Partner must have the necessary authority to conclude this Agreement with the Provider and Information Export as part of its compliance.

Partner Site — a site whose main or important activity is to provide users with news (operational information messages).

Information (Data) — structured publicly available news information, regardless of the form of its presentation (including, but not limited to texts, images, audio/video materials, etc.) posted on the Partner Site.

Feed — file with a set of Information transmitted by the Partner to Provider for the purpose of displaying Information on the Provider Resources

Webmaster — a service provided on the terms published at: https://webmaster.yandex.com.tr which allows the Partner to access the personal account to upload Feeds and manage their settings.

Provider Resources — websites, services, computer programs and other technical or software tools of the Provider and its affiliates.

Information Export — actions aimed at creating conditions for operational indexing and processing of Information by the Provider under the terms of this Agreement.

Provider Databases — collection of all Information related to the Service, including Information from Partner, Provider's own data and data received from third-party sources.

Technical requirements — a set of technical conditions and instructions, which include both mandatory requirements for Feed as well as recommendations. Technical requirements are posted at https://yandex.com.tr/support2/webmaster/tr/search-appearance/news

1.2. Any terms not defined in clause 1.1 of this Agreement may be used within the Agreement. In such cases, the interpretation of these terms shall be carried out in accordance with the text of this Agreement. If there is no unambiguous interpretation of a term in the text, one should refer to the interpretation of that term as it has developed on the internet.

1.3. Provider reserves the right to refuse to enter into an Agreement with any prospective Partner without providing reasons for the refusal.

1.4. This Agreement between Provider and Partner is also governed by the following documents, which are collectively referred to hereafter as the Regulatory Documents:

1.5. The legislation of the Republic of Turkey shall apply to this Agreement and the relations between the Provider and the Partner arising in connection with the execution of this Agreement.

1.6. Throughout the text of this Agreement, unless explicitly stated otherwise, the term "Legislation" means both the legislation of the Republic of Turkey and the legislation of the Partner's place of residence or the place where he performs legally significant actions in accordance with this Agreement. If any actions of the Partner under this Agreement violate the laws of the Partner's place of residence, the Partner undertakes to refrain from such actions.

2. General Terms

2.1. The Parties act independently, on their own behalf and at their own expense.

2.2. This Agreement does not imply any financial relations or settlements between the Parties in connection with or in relation to the fulfillment of agreements reached within the scope of this Agreement.

2.3. This Agreement does not entail the fulfillment by either Party of any additional obligations beyond those expressly stated in this Agreement and Regulatory Documents. This includes obligations that are not directly or indirectly related to other contractual commitments, such as the transfer of goods, granting of rights, performance of works, or provision of services.

3. Information Export

3.1. The Partner exports Information published on the Partner Site by uploading the Feed through the interface of the Yandex Webmaster service. Information Exports is determined to the extent, in the manner and on the terms defined by this Agreement and Technical Requirements.

3.2. The Partner guarantees that they have all the rights necessary to export Information in accordance with this Agreement and provide the Provider with the opportunity to perform with the Information the actions specified in clauses 4.1-4.2. of this Agreement.

The Partner also confirms that the use of Information under this Agreement does not violate Legislation and does not infringe on the rights and interests of third parties, including the authors and owners of Information or its fragments. In addition, he undertakes to independently and at his own expense settle all disputes and claims that may arise from third parties to both the Partner and the Provider in connection with the fulfillment of the terms of the Agreement.

The Provider has the right to request documents from the Partner confirming the Partner's rights to Information Export or other documents and data, confirming compliance with the requirements of this Agreement at any time.

3.3. By uploading the Feed, the Partner guarantees that:

3.3.1. uploaded Data and/or Partner’s actions within the framework of Information Export do not violate third party rights and/or cause harm in any way;

3.3.2. uploaded Data does not contain the following categories of content;

  • Violating the requirements of Legislation;
  • Promotion of hatred and/or racial, ethnic, sexual, religious or social discrimination or is insulting to any persons and/or organizations;
  • False information and fake news;
  • Sexually explicit content;
  • Unlawfully disseminated personal data of individuals or infringing the privacy of private live;
  • Violating the intellectual property rights of third parties;
  • Misleading, sensational, or clickbait titles that distort the nature of the content;
  • Vulgar, profane, or obscene language not justified by the context (e.g., in quotations for journalistic purposes);
  • Content promoting or glorifying violence, terrorism, or criminal activities;
  • Harmful or dangerous content that could cause physical, emotional, or psychological harm;
  • Malicious software, viruses, or links to malicious content;
  • Defamation, libel, or slander against individuals, groups, or organizations;
  • Content involving or promoting human trafficking, exploitation, or abuse, including child exploitation;
  • Unsolicited advertising, spam, or deceptive practices aimed at manipulating users;
  • Content that misrepresents or impersonates individuals, organizations, or entities without their consent;
  • Unauthorized use or dissemination of sensitive or classified government information;
  • Encouragement of self-harm, suicide, or other harmful practices;
  • Content violating contractual confidentiality obligations;
  • Any material that violates Regulatory Documents.

3.3.3. Feed complies with mandatory Technical requirements;

3.3.4. uploaded Data does not contradict the content published on the Partner Site;

3.3.5. Partner conducts its operations in strict compliance with applicable laws and regulations. This includes ensuring that the Partner Site does not breach Legislation, is not an unlawful resource, and holds the necessary business licenses, if such obligations are imposed by Legislation.

3.4. The Partner undertakes to update Feed in a timely manner when adding or changing Information on the Partner Site, as well as immediately notify the Provider of cases of deletion of exported Information from the Partner Site.

3.5. Provider has the right to conduct control checks of compliance of exported Information with the above guarantees and/or of compliance of exported Information with real information posted on the Partner Site. The results of the control check are sufficient, but not the only possible basis for recognizing the fact of violation of the Partner's guarantees specified in clauses 3.2.-3.4. of the Agreement.

4. Displaying information on Provider's resources

Within the terms of this Agreement, Provider may perform the following actions with Information:

4.1. Use of any portions (quotes) of Information (hereinafter referred to as "Fragments") for informational purposes, such as organizing, summarizing and searching for Information, as well as presenting the results of such organization and/or search to the users, on terms determined by the Provider independently and at their discretion. This includes:

a) Posting Fragments on the Service and other Provider’s Resources, as well as on the services provided under the Yandex brand, or on a domain of any level yandex.com.tr.

b) Distribution of Fragments through email to subscribers and via other technical or software methods (including widgets, RSS feeds, client programs, and similar methods).

c) Providing an opportunity to create, save, and share links to Fragments

d) In other ways that are consistent with the terms of this Agreement.

4.1.3. Allowing users to store Information in Provider's computer programs.

4.2. Use of Fragments in accordance with clauses 4.1.2 and 4.1.3 will be accompanied by a link to the Partner Site. The format and placement of this link will be determined by the Provider.

4.3. The copyrights for the selection and location of Information in the Provider Databases, as well as the exclusive right of the manufacturer of Provider Databases, belong to Provider. The rights of the owner of Information contained in Provider Databases are subject to protection regardless of copyright and other rights to such databases.

4.3. The Provider has the right at any time, without prior notice and without explanation, to suspend or stop processing Feed or using Information in any way, including post Information in whole or in part, in particular, but not limited to, in the following cases:

4.3.1. in case of receiving complaints from third parties or regulatory authorities about the Partner's actions or Information

4.3.2. in case of violation by the Partner of other obligations or guarantees accepted in accordance with the Agreement.

4.3.3. in case of violations by the Partner of Technical requirements;

4.3.4. in other cases where the use of information could potentially harm the rights or interests of the Provider, Partner, or third parties.

5. Limitation of liability

5.1. The Provider does not warrant that the exported Information will be used to any particular extent. However, it will take all reasonable measures to ensure that Feed has been verified, and upon successful upload, Information is displayed on the Provider Resources if it complies with other terms of the Agreement;

5.2. The Provider does not guarantee that the exported Information will be stored in the Provider's Databases in full, while reserving the unconditional right to delete Information or Fragments from the Provider's Database at any time;

5.3. The Provider does not guarantee that the Fragments will be placed in any particular place or available for search under any specific conditions.

5.4. Neither Party shall compensate for the lost profits caused by the actions of this Party in the execution of this Agreement;

5.5. The Provider is not responsible and does not compensate for any damage, direct or indirect, caused to the Partner or third parties as a result of the Provider's actions under this Agreement.

6. Conclusion, Amendment and Termination of the Agreement

6.1. This Agreement is concluded and will be effective from the moment the following conditions are met:

6.1.2. The Partner has registered account on the Provider's platform and verified Partner Site in Yandex Webmaster;

6.1.3. The Partner has agreed to the terms of this Agreement in Webmaster interface;

6.1.4. The Partner has uploaded Feed in Webmaster interface;

6.2. This Agreement in its current version can be found on the internet at: https://yandex.com.tr/legal/news_agreement

6.3. The Provider reserves the right to amend the Agreement unilaterally. Changes will take effect immediately after they are published at the address specified in clause 6.2, unless a different date is specified by Provider.

6.4. If the Partner objects to changes made by Provider, they have the right to terminate the Agreement by sending a notification to Provider.

6.5. If the Partner continues to export Information and does not notify Provider of their objection to the changes, the changes will be considered accepted and will apply to the relationship between the Parties under this Agreement.

6.6. This Agreement can be terminated: by any of the parties in case of a violation by the other party of the terms of this Agreement without prior notice of such termination.

6.6.2. by Partner at any time without giving reasons by deleting uploaded Feeds from the Webmaster and notifying the Provider about the termination of the Agreement. After deleting the Feeds, the information can be available on the Partner resources in the short-term period necessary to suspend the Information Export and stop displaying it.

7. Other terms and conditions

7.1. The Partner shall be solely responsible for compliance with all applicable laws and regulations in the performance of its obligations under this Agreement, including but not limited to information, media, advertising, privacy, intellectual property, and other relevant laws. The Partner hereby assumes all guarantees of compliance with its obligations under the Agreement and any related regulatory documents.

7.2. The Parties will communicate and exchange information and documents through the following means:

7.2.1. Email;

7.2.2. Feedback form in the webmaster interface;

7.2.3. Other methods agreed upon by the Parties.

7.3. The invalidity and/or impossibility of fulfilling any one or more conditions of this agreement for any reason will not adversely affect the validity and/or possibility of fulfilling its other terms.

7.4. All disputes and disagreements arising in connection with the execution of the Agreement are resolved by the Parties through negotiations. If these disagreements and disputes cannot be resolved through negotiation, the Parties will submit them to an appropriate court at the Provider's location, subject to mandatory compliance with pre-trial procedures for resolving disputes.
